By accessing or using Allnote ("Service", "we", "us", or "our"), you agree to be bound by these Terms and Conditions ("Terms"). If you disagree with any part of these Terms, you may not access the Service.

These Terms apply to all visitors, users, and others who access or use the Service. By using the Service, you also agree to our Privacy Policy.

Allnote provides an AI-powered meeting assistant platform that includes:

• Real-time meeting transcription and recording
• AI-generated meeting summaries and action items
• Calendar integration (Google, Microsoft, Zoom)
• Meeting bot that joins virtual meetings on your behalf
• Collaborative note-taking and sharing features
• AI chat for querying meeting content

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time with or without notice.

When you create an account with us, you must provide accurate, complete, and current information. Failure to do so constitutes a breach of the Terms.

You are responsible for:

• Safeguarding the password used to access the Service
• All activities that occur under your account
• Notifying us immediately of any unauthorized use of your account

You may not use as a username the name of another person or entity that is not lawfully available for use, or a name or trademark that is subject to any rights of another person or entity without appropriate authorization.

Some parts of the Service are billed on a subscription basis. You will be billed in advance on a recurring and periodic basis. Billing cycles are set on a monthly or annual basis.

Free Trials: We don't currently offer free trials. Paid plans are billed in advance.

Refunds: Refund requests are handled on a case-by-case basis. Contact our support team at support@allnote.ai for refund inquiries.

Price Changes: We reserve the right to adjust pricing at any time. Any price changes will take effect at the start of the next Billing Cycle following notice of the change.

You agree not to use the Service to:

• Violate any applicable laws, rules, or regulations
• Record or transcribe meetings without proper consent of all participants
• Upload, transmit, or distribute any content that is unlawful, harmful, threatening, abusive, or otherwise objectionable
• Impersonate any person or entity, or falsely state or misrepresent your affiliation with a person or entity
• Interfere with or disrupt the integrity or performance of the Service
• Attempt to gain unauthorized access to the Service or its related systems
• Use the Service for any purpose that is competitive with Allnote
• Use automated means (bots, scrapers) to access the Service without our express written permission

You acknowledge and agree that:

• Consent Responsibility: You are solely responsible for obtaining all necessary consents from meeting participants before recording, transcribing, or using the Allnote bot in any meeting
• Legal Compliance: You must comply with all applicable local, state, national, and international laws regarding recording conversations, including but not limited to one-party and two-party consent laws
• Notice: You should inform all participants when the Allnote bot joins a meeting and that the meeting is being recorded and transcribed

Allnote is not responsible for any legal consequences arising from your failure to obtain proper consent.

The Service and its original content (excluding content provided by users), features, and functionality are and will remain the exclusive property of Allnote and its licensors. The Service is protected by copyright, trademark, and other laws.

Your Content: You retain ownership of any content you create, upload, or generate through the Service (including meeting recordings, transcriptions, and notes). By using the Service, you grant us a limited license to process, store, and display your content solely for the purpose of providing the Service to you.

Feedback: If you provide us with feedback or suggestions regarding the Service, you grant us the right to use such feedback without restriction or compensation to you.

By using the Service, you acknowledge that:

• Meeting audio and content is processed by AI models to generate transcriptions, summaries, and other features
• We use industry-standard encryption and security measures to protect your data during processing
• Your meeting data is not used to train third-party AI models without your explicit consent
• AI-generated content (summaries, action items, chat responses) may not be 100% accurate and should be verified

The Service integrates with third-party platforms including Google Workspace, Microsoft 365, and Zoom. By connecting these services:

• You authorize Allnote to access your calendar and meeting information as needed to provide the Service
• You agree to comply with the terms of service of those third-party platforms
• You acknowledge that Allnote is not responsible for the availability or functionality of third-party services

We may also use third-party payment processors. Your payment information is handled securely through these processors and is subject to their respective terms and privacy policies.

We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including without limitation if you breach the Terms.

Upon termination:

• Your right to use the Service will immediately cease
• We may delete your account and all associated data after a reasonable retention period
• You may request an export of your data before account deletion
• Any outstanding payment obligations will remain in effect

You may terminate your account at any time by contacting us or using the account deletion feature in your dashboard settings.

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. Allnote and its suppliers and licensors hereby disclaim all warranties of any kind, express or implied, including without limitation the warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that:

• The Service will function uninterrupted, secure, or available at any particular time or location
• Any errors or defects will be corrected
• Transcriptions or AI-generated content will be completely accurate
• The results obtained from the use of the Service will meet your requirements

In no event shall Allnote, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation:

• Loss of profits, data, use, goodwill, or other intangible losses
• Damages resulting from unauthorized access to or use of our servers and/or any personal information stored therein
• Damages resulting from any interruption or cessation of transmission to or from the Service
• Damages resulting from errors or inaccuracies in transcriptions or AI-generated content

Our total liability to you for all claims arising out of or relating to the use of the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

You agree to defend, indemnify, and hold harmless Allnote and its licensees and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt arising from:

• Your use of and access to the Service
• Your violation of any term of these Terms
• Your violation of any third-party right, including without limitation any copyright, trademark, or privacy right
• Your failure to obtain proper consent for recording or transcribing meetings

These Terms shall be governed and construed in accordance with the laws applicable in the jurisdiction where Allnote operates, without regard to its conflict of law provisions.

Any disputes arising out of or in connection with these Terms shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved through negotiation, it shall be submitted to binding arbitration in accordance with the rules of the applicable arbitration association.

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised Terms. If you do not agree to the new Terms, please stop using the Service.
